Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website at betatrade.ca (the "Site") and your business engagement with Beta Trade Depot Corp. ("Beta Trade Depot", "BTD", "we", "our", or "us"), a Canadian Federal Corporation incorporated under the Canada Business Corporations Act (Federal Corporation Number 1252458-9).

By accessing the Site, submitting an inquiry, or engaging with us in a commercial capacity, you agree to be bound by these Terms. If you do not agree, you must not use the Site or engage with us.

Definitions

• "Beta Group" refers collectively to Beta Trade Depot Corp. and its sister companies, including Beta Prep Canada and Antalia Wholesale.
• "Counterparty" means any brand, importer, distributor, supplier, customer, or other party engaging with Beta Trade Depot in a commercial capacity.
• "Services" means the wholesale distribution, marketplace operations, fulfillment coordination, and related commercial activities operated by Beta Trade Depot.
• "Site" means the website at betatrade.ca and all its sub-pages.

Website Use

You may access and use the Site for the purpose of evaluating commercial engagements with Beta Trade Depot, submitting supplier inquiries, and obtaining publicly available information about our business. You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to any portion of the Site, its servers, or related systems
• Interfere with or disrupt the Site's operation or other users' access
• Scrape, crawl, or extract data from the Site by automated means without our written consent
• Submit false, misleading, or fraudulent information through any Site form

No Offer of Sale

The Site is an informational corporate website. Nothing on the Site constitutes an offer to sell, distribute, or supply any product or service, nor an invitation to treat. All commercial engagements are subject to:

• Mutual due diligence and qualification
• Execution of separate written agreements addressing pricing, MOQ, payment terms, channel allocation, and other commercial matters
• Compliance with applicable brand authorization and channel control requirements
• Satisfaction of credit, compliance, and legal review processes

The display of product categories on the Site does not constitute representation that any specific brand is currently available for distribution.

Commercial Engagements

Any commercial relationship between Beta Trade Depot and a Counterparty shall be governed by a separately executed written agreement (e.g., distribution agreement, supplier agreement, purchase order terms). In the absence of such written agreement, the following minimum terms apply to any purchase order issued or accepted:

• Title and risk of loss transfer per the agreed Incoterms (default: FCA Toronto)
• Payment terms: net 30 days from invoice date unless otherwise agreed in writing
• All prices exclusive of applicable taxes, duties, and tariffs
• Counterparty warrants title, authenticity, and authorization for all goods supplied
• Disputes resolved per Section 12 (Governing Law & Jurisdiction) below

Authorized Distribution Representations

Where the Site references "authorized distribution" or names a specific brand or product line (e.g., Callebaut via Antalia Wholesale), such reference reflects a specific authorization held by the relevant member of the Beta Group. Counterparties who require documentary evidence of authorization for specific brands may request such evidence in writing.

Brand mentions, category descriptions, and product type references elsewhere on the Site do not represent that we hold exclusive distribution rights for any named brand unless explicitly stated. We make no representation that any specific brand will be available, in stock, or offered through us at any given time.

Third-Party Marks & Content

The Site may reference third-party brand names, trademarks, marketplace operators, or service providers (e.g., Amazon, Walmart, Shopify, eBay, Etsy, Callebaut) for the purpose of describing our operating context. All such marks remain the property of their respective owners. Such references do not imply endorsement, affiliation, sponsorship, or partnership beyond what is expressly stated.

Links to third-party websites (including Beta Prep Canada and Antalia Wholesale) are provided for convenience. We are not responsible for the content or practices of third-party sites, and you access them at your own risk.

Intellectual Property

All content on the Site, including text, graphics, logos, the Beta Trade Depot mark, page layouts, and code, is owned by or licensed to Beta Trade Depot Corp. and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, modify, distribute, publicly display, or create derivative works from any Site content without our prior written consent, except for personal, non-commercial use of publicly accessible information.

Disclaimers

THE SITE AND ALL INFORMATION PROVIDED ON IT ARE FURNISHED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the maximum extent permitted by law, Beta Trade Depot disclaims all warranties, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or uninterrupted availability.

We do not warrant that the Site will be error-free, secure, or continuously available. Operational metrics displayed on the Site (e.g., volumes, accuracy rates, fulfillment statistics) are illustrative of our group network's general operating capacity and are not guarantees of performance for any individual engagement.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BETA TRADE DEPOT CORP., ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SITE OR ANY COMMERCIAL ENGAGEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our aggregate liability arising from your use of the Site shall not exceed CAD $1,000. Commercial engagement liability is governed by the applicable written agreement between the parties.

Indemnification

You agree to indemnify, defend, and hold harmless Beta Trade Depot Corp., its directors, officers, employees, affiliates, and members of the Beta Group from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your breach of these Terms
• Your violation of any applicable law or third-party right
• Misrepresentations made by you in any Site form, inquiry, or commercial dealing
• Content or materials you submit to us

Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein, without giving effect to conflict-of-laws principles.

The parties submit to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in the Judicial District of Toronto, for the resolution of any dispute arising from or relating to these Terms or your use of the Site.

Modifications

We may modify these Terms at any time by posting an updated version on the Site. The "Last Updated" date at the top of this document reflects the most recent revision. Continued use of the Site after modifications constitutes acceptance of the revised Terms.
